Terms and Conditions for Zellow – WhatsApp Ordering System

These Terms and Conditions govern the use of Zellow, a SaaS-based WhatsApp ordering solution Platform provided by Ignite Innovations By subscribing to and using the Zellow service, the Restaurant agrees to these Terms.
1. Service Overview
Zellow provides restaurants with a WhatsApp-based digital ordering solution, allowing customers to:
Scan a QR code placed on their table,
View the digital menu,
Place food orders, and
Make payments (if enabled).
The Platform is a software-as-a-service (SaaS) offering and does not include hardware unless otherwise agreed.
2. Restaurant Responsibilities
Ensure QR codes are displayed and accessible on premises.
Keep menu, pricing, and availability updated in the Zellow system.
Fulfill customer orders placed through the Platform in a timely manner.
Maintain compliance with all food safety, health, and regulatory requirements.
Provide accurate payment details to receive transactions (if integrated).
3. Our Responsibilities
Provide access to the Zellow platform during the subscription period.
Ensure reasonable uptime and availability (excluding scheduled maintenance).
Provide technical support via [email/support channel].
Maintain data security and customer privacy as per applicable laws.
4. Subscription and Payments
The Restaurant agrees to pay subscription fees as per the chosen plan.
All payments are non-refundable unless required by law.
Failure to pay may result in suspension or termination of service.
Additional charges (such as transaction fees, payment gateway charges, or custom integrations) may apply.
5. Data and Privacy
The Restaurant owns customer order data generated through its use of Zellow.
We may use anonymized/aggregated data for analytics, improvements, and reporting.
The Restaurant is responsible for complying with privacy regulations applicable to customer data.
We will not share identifiable customer data with third parties without consent.
6. Intellectual Property
Zellow and all associated intellectual property (logos, software, code, branding) remain the sole property of Ignite Innovations.
The Restaurant is granted a limited, non-exclusive, non-transferable license to use Zellow during the subscription period.
Restaurants may not copy, modify, or reverse-engineer the platform.
7. Limitations of Liability
We provide the Platform “as is” and make no warranties beyond those stated in these Terms.
We are not responsible for order errors, delays in preparation, customer disputes, or loss of business arising from Restaurant operations.
Our total liability shall not exceed the fees paid by the Restaurant in the preceding 3 months.
8. Termination
Either party may terminate the agreement with 30 days’ written notice.
We may suspend or terminate service immediately if:
The Restaurant violates these Terms,
Payment is overdue, or
Illegal or abusive use of the Platform occurs.
9. Confidentiality
Both parties agree to keep confidential any non-public information obtained during the use of the Platform.
10. Governing Law
These Terms shall be governed by the laws of India, with jurisdiction in the courts of Hyderabad, Telangana.
11. Updates to Terms
We reserve the right to update these Terms from time to time. Restaurants will be notified of material changes. Continued use of the Platform constitutes acceptance of the updated Terms.
